1. Scope of Services
The Company provides the following professional services:
- Company Incorporation: Hong Kong limited company registration, company name search, registered address provision, articles of association drafting
- Company Secretarial: Statutory company secretary appointment, annual return filing, Significant Controllers Register (SCR), director and shareholder changes
- Accounting Services: Bookkeeping, financial statement preparation, payroll processing
- Audit & Tax: Statutory audit, profits tax filing, tax planning advice
The specific scope of services shall be subject to the service agreement or confirmation letter signed by both parties.
2. Service Fees and Payment Terms
- Service fees are based on the Company's quotation or prices published on the website
- Payments are processed through the Payment Asia secure payment platform
- Unless otherwise agreed, service fees must be paid in full upon order confirmation
- All fees are denominated in Hong Kong Dollars (HKD), plus applicable government fees
- The Company reserves the right to adjust service prices with prior notice to clients
3. Refund Policy
- If processing has not yet commenced, a full refund may be requested
- If processing has commenced but is not yet complete, the refund amount will be net of work costs incurred and government fees
- Government fees already paid (e.g., Companies Registry fees) are non-refundable
- Refund requests must be submitted in writing and will be processed within 14 business days of receipt
4. Client Responsibilities
By using our services, you agree to:
- Provide truthful, accurate, and complete personal and business information
- Cooperate with the Company's customer due diligence (KYC/CDD) procedures, including providing identification documents and proof of address
- Comply with anti-money laundering and counter-terrorist financing (AML/CFT) regulations
- Respond promptly to the Company's information requests and enquiries
- Ensure that the information provided does not involve any illegal activities
- Pay service fees on time
5. Appointment and Authorisation
- The Client appoints AIcountant Corporate Services Limited as its agent and authorises the Company to: (a) prepare, sign and file with the Companies Registry, the Inland Revenue Department and other relevant authorities the forms and documents required for the selected services (including, without limitation, incorporation forms, business registration applications and annual returns), and to pay the related government fees on the Client's behalf; (b) act on the information provided and confirmed by the Client through the platform; and (c) take such steps as the Company reasonably considers necessary to comply with applicable laws and complete the selected services.
- The Client acknowledges that submitting and confirming information through the platform constitutes the Client's instruction and authorisation for the above actions; the Company acting on such instructions does so at the Client's risk, save for the Company's negligence or wilful default.
- The Client shall ensure the information provided is true, complete and up to date, and shall indemnify the Company against any loss, cost or liability arising from untrue or incomplete information.
- This authorisation lapses upon completion or termination of the relevant services, save for records required by law to be retained.
6. Intellectual Property
- All content on this website (including but not limited to text, images, logos, designs) is the intellectual property of the Company
- No content from this website may be reproduced, modified, distributed, or otherwise used without the Company's written consent
- Intellectual property rights in documents prepared for clients (e.g., articles of association) are transferred to the client upon completion of payment
7. Disclaimer
- Information provided on this website is for general reference only and does not constitute legal, tax, or professional advice
- The Company shall not be liable for any loss or damage arising from the use of information on this website
- The Company will endeavour to ensure service quality but does not guarantee specific business outcomes (e.g., bank account opening success rates depend on the bank's independent assessment)
- The Company shall not be liable for delays caused by third-party service providers (e.g., government departments, banks)
8. Confidentiality
The Company undertakes to keep all information provided by clients strictly confidential, except where:
- The client's written consent has been obtained
- Disclosure is required by law or regulatory authorities
- Submission to relevant third parties (e.g., government departments) is necessary for service provision
9. Service Modification and Termination
- The Company reserves the right to modify, suspend, or terminate any service at any time
- To terminate an ongoing service, either party must provide 14 days' written notice to the other party
- The Company has the right to immediately terminate services if the client breaches these terms
- Termination of services does not affect rights and obligations that have accrued prior to termination
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
11. Dispute Resolution
- Both parties shall first attempt to resolve any dispute through amicable negotiation
- If negotiation fails, the dispute shall be submitted to the courts of Hong Kong for adjudication
- Both parties may also agree to resolve disputes through arbitration, with Hong Kong as the seat of arbitration
12. Amendments to These Terms
The Company reserves the right to amend these Terms of Service at any time. Any amendments will be published on this website with an updated "Last Updated" date. Continued use of the Company's services shall be deemed acceptance of the amended terms.
13. Opening Offer (Promo Code ZERO800)
- Offer: with a valid promo code, the incorporation service fee is waived (HK$800 off; for the non-local plan this waives its incorporation-fee component), and the first-year company secretary service remains included at no charge.
- Condition: the offer applies only when ordered together with our registered address service — either the local plan with the registered address add-on (HK$2,000/year), or the non-local plan which already includes a registered address.
- Government fees (Companies Registry and Business Registration, HK$3,895 in total, subject to official announcements) are not covered and remain payable.
- Additional shareholder surcharges and other add-ons are not covered by the offer.
- The offer applies once per newly incorporated company; it is not transferable, not redeemable for cash, and cannot be combined with other offers.
- From the second year onwards, registered address and company secretary services renew at the prices published at that time.
- Availability is limited: we may adjust or end this offer at any time without prior notice; orders already paid are not affected.
- In case of any dispute, our decision shall be final.
